TERMS & CONDITIONS
1. Introduction
These Terms & Conditions govern all services provided by Margaret Macleod - Social Media Marketing (“we”, “us”, or “our”) to the client (“you” or “your”). By engaging our services, you agree to be bound by these terms.
2. Services Provided
We offer the following services:
Social Media Marketing Packages
Strategy Sessions
One-to-One Consultations
Social Media Audits
We do not currently offer paid advertising or content creation but reserve the right to add these services in the future.
3. Contract Duration & Termination
All social media marketing packages require a minimum 3-month commitment.
Contracts automatically renew on a month-to-month basis unless 30 days' written notice is given before the next billing cycle.
If you terminate the contract before the initial 3-month term ends, a cancellation fee equal to one month's payment will apply.
Failure to provide necessary materials (e.g., raw footage, images) does not exempt you from payment obligations.
4. Payment Terms
First month's payment is due in full before work begins.
Invoices are issued on the 1st of each month, with payment due within 7 days.
Late payments will incur a 5% late fee after 14 days. If unpaid for more than 30 days, services will be paused until payment is received. Continued non-payment may result in legal action or referral to a collections agency.
No refunds will be issued for services already rendered.
5. Scope of Work & Additional Charges
The agreed package covers only the services outlined in the contract.
Additional services (e.g., extra posts, emergency content, additional platforms) will be billed separately at an agreed rate.
Any revisions beyond the agreed scope will incur an additional charge.
6. Client Responsibilities
You must provide all necessary content (e.g., raw footage, photos, brand assets) by agreed deadlines.
You are responsible for the ad budget if we manage paid campaigns.
You must approve content in a timely manner to ensure consistent posting.
7. Revisions & Approvals
You are entitled to one round of minor revisions per post. Additional revisions will incur extra charges.
If you fail to review and approve content within the agreed timeframe, we will proceed based on the latest version.
8. Intellectual Property
Once payment is made in full, you own the final content created for you.
We retain ownership of any custom frameworks, strategies, or templates developed during the contract.
Any unfinished work remains our intellectual property if the contract is terminated early.
9. Confidentiality & Data Protection
Both parties agree to keep all business information, strategies, and sensitive data confidential.
We comply with UK GDPR regulations regarding the collection and processing of data.
You agree not to share proprietary processes, templates, or pricing with competitors.
10. Limitation of Liability
We do not guarantee specific results (e.g., sales increases, follower growth) as social media performance depends on multiple external factors.
We are not liable for platform issues (e.g., social media outages, algorithm changes) affecting performance.
11. Force Majeure
We are not liable for service disruptions due to circumstances beyond our control (e.g., natural disasters, pandemics, cyberattacks, social media platform failures).
12. Client Behaviour & Mutual Respect
We maintain a professional working environment and expect mutual respect.
We reserve the right to terminate services immediately without refund if a client engages in abusive, harassing, or inappropriate behaviour.
13. Dispute Resolution
Any disputes must first be attempted to be resolved through informal negotiation.
If unresolved, disputes will be settled via mediation before legal action is pursued.
14. Portfolio Use & Testimonials
We may showcase completed work in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.
We may use client testimonials for promotional purposes.
15. Changes to These Terms
We may update these Terms & Conditions from time to time. Clients will be notified of any significant changes.
